These Terms of Service govern your access to and use of the GORydz Freight Shipper app, the GORydz Freight Carrier app, and all related services provided by GORydz, Inc..

PLEASE READ CAREFULLY. These Terms include a binding individual arbitration provision and a class-action waiver in Section 17 that affect your legal rights. By using the Services you agree to resolve disputes with GORydz, Inc. through individual arbitration.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding legal agreement between you and GORydz, Inc. (“GORydz,” “we,” “us,” or “our”). By creating an account, downloading the GORydz Freight Shipper or GORydz Freight Carrier app, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not access or use the Services.

GORydz Freight is a technology platform that connects shippers with licensed motor carriers. GORydz is not a freight broker, freight forwarder, or motor carrier and does not arrange transportation or handle freight payments.

2. Definitions

  • “Services” means the GORydz Freight Shipper app, the GORydz Freight Carrier app, the gorydzfreight.com website, and all related platforms, load board, APIs, and customer-support channels.
  • “Platform” means the GORydz Freight online marketplace and load board that enables Shippers and Carriers to find and connect with one another. GORydz is not a party to the transportation contract between a Shipper and a Carrier and is not a freight broker, freight forwarder, or motor carrier.
  • “Shipper” means a user or business that posts a load or freight opportunity through the GORydz Freight Shipper app.
  • “Carrier” means an independent, legally operating motor carrier (a trucking company or owner-operator) that books and hauls loads through the GORydz Freight Carrier app.
  • “Load” (or “Shipment”) means freight that a Shipper posts on the Platform and that a Carrier books and transports directly for the Shipper.
  • “Rate” means the price and payment terms for transporting a Load, which the Shipper and Carrier negotiate and agree upon directly between themselves.
  • “Content” means text, graphics, photos, ratings, feedback, load details, documents, and other material submitted, posted, or transmitted through the Services.

3. Eligibility

To use the Services you must:

  • Be at least 18 years old and, if acting on behalf of a business, be authorized to bind that business (Shippers);
  • Be a legally operating motor carrier with valid operating authority (such as an active USDOT number and, where applicable, MC operating authority) and the insurance required for the freight you haul (Carriers);
  • Have the legal capacity and authority to enter into a binding contract;
  • Not be prohibited by applicable law from using the Services; and
  • Not have been previously suspended or removed from the Services.

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your password and for all activity under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

Each user or business may maintain only one active GORydz account per role (Shipper or Carrier). Sharing accounts is prohibited.

5. Our Role as a Technology Platform

GORydz provides a technology platform and load board that enables Shippers to post loads and connect with independent, third-party Carriers who choose to haul them. GORydz does not provide freight-transportation services, does not arrange transportation, does not take custody of any freight, and is not a freight broker, freight forwarder, or motor carrier. Shippers and Carriers are independent of one another and of GORydz, and are not employees, agents, joint venturers, or partners of GORydz.

The transportation of a Load is a direct contract between the Shipper and the Carrier. They negotiate and agree the Rate and all payment terms directly, and they pay each other directly. GORydz is not a party to that contract, does not sit in the freight-payment flow, and takes no percentage of any freight charge. GORydz’s compensation is a membership or access fee for use of the Platform, as described in Section 8.

GORydz does not guarantee that any Carrier will book a particular Load, that any Shipper will accept a particular Carrier, or that a suitable Carrier or Load will be available at a particular time or location.

6. Terms for Shippers

6.1 Posting loads

By posting a Load you make it available to Carriers on the Platform. You are responsible for the accuracy and completeness of every load posting, including the commodity, weight, dimensions, equipment type required (such as dry van, reefer, flatbed, or tanker), pickup and delivery locations, appointment times, and any special handling requirements. You must have the legal right to arrange for the shipment of the freight you post.

6.2 Contracting with Carriers

When you and a Carrier agree to a Load, you enter into a transportation contract directly with that Carrier. You and the Carrier negotiate and agree the Rate and all payment terms (for example net terms, ACH, check, or factoring) between yourselves. GORydz is not a party to that contract and does not process, hold, or guarantee any freight payment.

6.3 Verifying Carriers

While GORydz collects certain carrier information (such as operating authority and insurance) as a quality and trust feature, you remain responsible for performing your own due diligence and for confirming that a Carrier holds the authority, insurance, and safety rating appropriate for your freight before tendering a Load.

6.4 Claims and disputes

Any dispute regarding freight, loss, damage, detention, non-payment, or service is between you and the Carrier. GORydz is not responsible for the freight or for resolving such disputes, but we may, at our discretion, provide records from the Platform to assist.

6.5 Membership and access fees

Access to certain Platform features may require a paid membership or access fee, billed through Stripe on a recurring basis until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. This fee is solely for access to the Platform and is separate from any Rate you pay a Carrier for freight.

7. Terms for Carriers

7.1 Independent-carrier status

You acknowledge that you are an independent motor carrier and not an employee, agent, joint venturer, or partner of GORydz. You retain full control over which Loads you book, how you dispatch and operate your equipment, and you are responsible for all costs associated with operating your trucks and performing the transportation.

7.2 Carrier requirements

You represent and warrant that you:

  • Are a legally operating motor carrier with valid operating authority (such as an active USDOT number and, where applicable, MC operating authority);
  • Maintain the auto-liability and cargo insurance required for the freight you haul, in the limits required by law and by the Shippers you serve;
  • Operate equipment that is properly registered, maintained, and suited to the Loads you accept (for example dry van, reefer, flatbed, or tanker);
  • Employ drivers who hold valid commercial driver’s licenses and meet applicable hours-of-service, medical, and safety requirements;
  • Maintain an acceptable FMCSA safety rating and comply with all applicable transportation, tax, and licensing laws.

7.3 Booking and cancelling loads

You may book or decline Loads at your discretion, subject to reasonable performance standards described in the app. When you book a Load you enter into a transportation contract directly with the Shipper and are responsible for performing it. Excessive cancellations, no-shows, or low ratings may result in temporary suspension or removal from the Platform.

7.4 Authority, insurance, and document maintenance

You must keep your operating authority, insurance certificates, and any required permits valid at all times. If any of these lapse, expire, or are revoked, you must immediately stop booking Loads and upload current documents through the Carrier app.

7.5 Rates and payment

You are paid for each Load directly by the Shipper at the Rate and on the payment terms the two of you agree (for example net terms, ACH, check, or factoring). GORydz does not pay you, does not hold or process freight funds, and takes no percentage of the Rate. Any dispute over non-payment, detention, or accessorials is between you and the Shipper.

7.6 Taxes

As an independent business you are solely responsible for all federal, state, and local taxes arising from your operations. GORydz does not withhold taxes and does not issue income tax forms for freight you are paid by Shippers, because GORydz is not a party to those payments.

7.7 Membership and access fees

Access to certain Platform features may require a paid membership or access fee, billed through Stripe on a recurring basis until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. This fee is solely for access to the Platform and is unrelated to any Rate you are paid for freight.

8. Membership Fees, Payments & Taxes

GORydz’s only charge to you is a membership or access fee for use of the Platform. These fees are processed by Stripe. By providing a payment method, you authorize GORydz and Stripe to charge your designated payment method for the membership, access, and any other Platform fees you agree to, plus applicable taxes.

GORydz does not charge or collect the Rate for any Load, does not pay Carriers, and takes no percentage of any freight charge. Payment for the transportation of a Load is made directly between the Shipper and the Carrier on the terms they agree, and GORydz is not part of that flow.

Any promotional credits or discount codes for Platform membership are subject to the specific terms disclosed at the time of issuance, may not be combined unless explicitly permitted, are non-transferable, and have no cash value.

9. Cancellations & Refunds

A Shipper or Carrier may withdraw from a posted or booked Load subject to the terms the two parties have agreed and to reasonable performance standards described in the app. Because GORydz is not a party to the transportation contract, any cancellation fees, detention, or other charges relating to a Load are a matter between the Shipper and the Carrier — GORydz neither collects nor refunds them.

Refunds of GORydz membership or access fees are issued at GORydz’s discretion in accordance with our billing guidelines. To request a membership refund, contact us at [email protected] within 30 days of the charge.

10. User Conduct & Prohibited Uses

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose;
  • Harass, threaten, defraud, or harm any other user, Shipper, Carrier, or GORydz personnel;
  • Discriminate against any user based on race, color, religion, national origin, sex, sexual orientation, gender identity, disability, or any other protected characteristic;
  • Post loads or accept freight involving hazardous materials, contraband, or other cargo you are not authorized, licensed, or insured to transport;
  • Post inaccurate, misleading, or fraudulent load or carrier information;
  • Post, transmit, or upload any Content that is defamatory, obscene, infringing, or otherwise unlawful;
  • Reverse-engineer, decompile, scrape, or attempt to derive the source code of any portion of the Services;
  • Interfere with the proper operation of the Services, introduce malware, or attempt to gain unauthorized access to any system or account;
  • Manipulate ratings, listings, or promotional offers, including through use of automated tools or multiple accounts.

Violation of this section may result in immediate suspension or termination of your account, and may be reported to law-enforcement authorities.

11. Safety, Insurance & Compliance

GORydz takes trust and safety seriously. The Platform includes features such as carrier authority and insurance verification, load tracking during active shipments, ratings, and a confidential trust-and-safety reporting channel at [email protected]. These are quality features and do not make GORydz a party to, or a guarantor of, any shipment.

GORydz does not provide cargo, liability, or any other insurance for Loads. The Carrier is solely responsible for maintaining the auto-liability and cargo insurance required for the freight it hauls, and the Shipper is responsible for confirming that coverage is adequate for its freight. Insurance documents collected through the Platform are provided by Carriers and are not verified or underwritten by GORydz.

In an emergency, always call 911 first. Do not rely solely on the app to report an emergency.

12. Intellectual Property

The Services and all content, features, and functionality — including the GORydz name, logo, designs, software, and trade dress — are owned by GORydz or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the GORydz Freight Shipper or GORydz Freight Carrier app on a device you own or control, solely for your personal use of the Services. You may not copy, modify, distribute, sell, or lease any part of the Services.

You retain ownership of any Content you submit, but you grant GORydz a worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that Content as necessary to operate and promote the Services.

13. Third-Party Services

The Services rely on third-party providers including Stripe (membership billing), Mapbox (maps and routing), Firebase (notifications and crash reporting), Twilio (SMS verification), and Apple and Google (app distribution and biometric authentication). Your use of those services is subject to their respective terms and privacy policies. GORydz is not responsible for third-party services and disclaims all liability arising from them to the fullest extent permitted by law.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, GORydz disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

GORydz does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, that any defects will be corrected, or that the Services will meet your requirements.

Because GORydz is a technology platform and not a freight broker, freight forwarder, or motor carrier, GORydz makes no representation or warranty regarding the conduct, qualifications, authority, insurance, creditworthiness, or quality of any Shipper or Carrier, the accuracy of any load posting, or the safety, suitability, or condition of any truck, equipment, or freight.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GORYDZ, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Any loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses;
  • Any damages arising out of or in connection with the conduct of any Shipper, Carrier, or other third party, or the transportation, loss of, or damage to any freight.

GORydz’s total liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid to GORydz in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless GORydz, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your use of the Services;
  • Your breach of these Terms or any representation or warranty;
  • Your violation of any law or the rights of any third party (including, for Carriers, your transportation of freight, and for Shippers, your tender of freight);
  • Any Content you submit through the Services.

17. Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH GORYDZ AND LIMITS YOUR ABILITY TO SEEK RELIEF FROM A COURT.

17.1 Agreement to arbitrate

You and GORydz agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or its Consumer Arbitration Rules where applicable), and not by a court, except as set forth below.

17.2 Class-action waiver

You and GORydz agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

17.3 Exceptions

Either party may bring an individual action in small-claims court in your county of residence, and either party may seek injunctive or other equitable relief in court for actual or threatened infringement of intellectual-property rights.

17.4 Opt-out

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to [email protected] within thirty (30) days after first accepting these Terms. Your notice must include your full name, the email associated with your account, and a clear statement that you wish to opt out of arbitration.

17.5 Severability

If the class-action waiver is found to be unenforceable, then the entirety of this arbitration section will be null and void, but the rest of the Terms will remain in full force and effect.

18. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or unsafe conduct, or that termination is necessary to protect GORydz, its users, or third parties.

Sections that by their nature should survive termination — including Sections 12 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Arbitration), and 20 (Miscellaneous) — will survive any termination.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will provide reasonable notice through the app or by email before the changes take effect. Your continued use of the Services after the effective date of an updated version constitutes your acceptance of the updated Terms.

20. Miscellaneous

  • Entire agreement: these Terms, together with the Privacy Policy and any additional terms presented to you in the app (such as promotional or subscription terms), constitute the entire agreement between you and GORydz regarding the Services.
  • No waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Severability: if any provision is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force majeure: we are not liable for any delay or failure to perform caused by events beyond our reasonable control.
  • Notices: we may give notices to you through the app or by email to the address associated with your account. Notices to GORydz must be sent to [email protected].
